SEATOUN AFC INC.
Purpose of the proposed Resolution
This resolution is being proposed to address the mandatory requirement for all incorporated societies to re-register under the Incorporated Societies Act 2022 before the deadline of 5 April 2026.
The Incorporated Societies Act 2022 introduces significant changes to the governance of incorporated societies, requiring the adoption of a new constitution that complies with the updated legislation. These changes are designed to modernise governance arrangements and provide greater clarity and accountability for members.
To meet these requirements, the Club must adopt a new constitution and complete the re-registration process.
Meeting Resolutions
The meeting will consider and if thought fit, pass the following resolutions:
1. Resolution to Adopt a New Constitution
That the members of Seatoun AFC Inc. approve and adopt the new Constitution presented to this meeting, to ensure the Club’s compliance with the Incorporated Societies Act 2022 and to enable the Club to re-register as a legal entity under that Act.
2. Resolution to Re-register the Society
That the members of Seatoun AFC Inc. approve the re-registration of the Club under the Incorporated Societies Act 2022.
3. Resolution to Authorise the Committee
That the Committee of Seatoun AFC Inc. be authorised to take all necessary steps and actions, and to execute all documents, to give effect to the above resolutions, including filing the new constitution with the Registrar of Incorporated Societies and completing the re-registration process.
A copy of the proposed new Constitution, including summary notes (FAQ sheet), is on our website and is also available for members’ review at the Club upon request. Members are encouraged to review this document prior to the meeting.
